Welcome to Bluevos.com (the “Website”). By accessing or using our Website and the services provided through it, you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree with these Terms, please do not use our Website or services.

1. Services Offered

Bluevos.com provides the following digital services:

• Website Design and Development
• Social Media Management
• Marketing Strategy Creation
• Artificial Intelligence Management
• Other related services as may be offered from time to time (collectively, the “Services”).

A detailed description of specific services, pricing, and project timelines will be provided in a separate service agreement or addendum (“Service Agreement”) that applies to each service purchased. The terms of any such Service Agreement are incorporated into these Terms by reference.

2. User Accounts (If Applicable)

• You may need to create an account to access certain Services.
• You are responsible for providing accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.
• You must immediately notify us of any unauthorized use of your account.

3. Service Requests and Process

• To initiate a Service, you must provide a detailed brief outlining your requirements, as may be requested by Bluevos.com.
• We will endeavor to deliver Services as described in the Service Agreement, adhering to the project timelines as agreed, or as reasonably achievable.
• Any additional requirements beyond the original brief may be subject to an addendum to your Service Agreement.
• You acknowledge that timely and sufficient responses to our requests are essential for successful delivery.

4. Pricing and Payments

• The fees for our Services are specified in the applicable Service Agreement.
• Payments are due within 15 days of the invoice date.
• We accept payments through bank transfer unless otherwise stated in the Service Agreement.
• Late payment will result in a penalty of 0.1% per day calculated on the unpaid balance.

5. Service Delivery and Revisions

• Once a service stage is complete we will present it to you.
• You have a review period of 10 days to request revisions.
• Revisions must be within the scope of the original request and brief. No new or additional works.
• Any requested revisions beyond the scope of the original brief, or after the 10-day review period will be considered new work and may be subject to additional fees.

6. Term and Termination

• These Terms are in effect immediately upon your first use of the Services provided by Bluevos.com.
• The Service Agreement is effective upon signature and continues indefinitely, until terminated.
• Either party may terminate a Service Agreement with 30 days’ written notice.
• Bluevos.com may terminate any Service Agreement immediately if you breach these Terms or the Service Agreement, particularly in the case of payment default for more than 20 days.
• Termination of a Service Agreement does not relieve you of any payment obligations or other responsibilities incurred before the effective date of termination.

7. Your Responsibilities

You agree to:

• Provide all information, materials, and access necessary for Bluevos.com to perform the Services.
• Comply with these Terms, applicable laws, and any Service Agreement with Bluevos.com.
• Not use our Services for any illegal or unauthorized purpose.
• Not interfere with Bluevos.com’s delivery of Services.
• Maintain all copyright and intellectual property rights relating to our work, as per the terms detailed in any Service Agreement.
• Pay for services promptly, as per the Service Agreement with Bluevos.com.

8. Our Responsibilities

Bluevos.com agrees to:

• Perform the Services with reasonable skill and care.
• Comply with applicable laws and regulations in providing the Services.
• Inform you of any events or circumstances that might materially affect the Services.
• Maintain confidentiality of information provided by you.

9. Subcontracting

Bluevos.com may use subcontractors or collaborators to assist in the delivery of Services. Micro Sat Com S.R.L. remains responsible for the quality and timely delivery of all services provided by Bluevos.com.

10. Intellectual Property

• Upon full payment as per your Service Agreement with Bluevos.com, you will have the intellectual property rights relating to any work created specifically for you.
• Bluevos.com reserves the right to use, for promotional purposes, your name, logo, design materials, and other assets created as part of the Services. This includes use on our website, social media, and other promotional platforms, unless expressly restricted in a Service Agreement.
• Bluevos.com includes a link to our website in the footer of any website we create for you.

11. Confidentiality

• Bluevos.com agrees to maintain the confidentiality of your confidential information, and we will not disclose it to third parties, except to our subcontractors for the purposes of delivering Services, or as legally required.
• We are not responsible for the public disclosure of any information that is not confidential, is already in the public domain, or has been approved by you to be disclosed.

12. Limitation of Liability

• The Beneficiary understands and agrees that Micro Sat Com S.R.L., its associates or other partners, directors, shareholders or employees of Micro Sat Com S.R.L. have no liability for any direct, indirect, special damages, including, but not limited to, damages for loss of future earnings, goodwill, use, data or other intangible assets (even if the Beneficiary has warned Micro Sat Com S.R.L. of the possibility of such losses), resulting from: the use or inability to use the Service, errors, defects, omissions, delays in operations or transmissions or any other irregularity in the proper functioning of the Service or software; The cost of procuring goods or services to replace those purchased or obtained through messages or transactions made through the Service; Unauthorized access or alteration of your transmissions or data; The statements and behavior of another party towards the Service; Any goods or services offered or sold through the Service; Any other situation relating to the Service or software.
• Micro Sat Com S.R.L. cannot be held liable if the Beneficiary uses the applications and services made available for illegal, immoral purposes or contrary to the conditions and policies of Micro Sat Com S.R.L.
• To the fullest extent permitted by law, Micro Sat Com S.R.L., the operators of Bluevos.com, shall not be liable for any indirect, consequential, incidental, or special damages. Including loss of profits, revenue, data, or goodwill, arising from your use of, or inability to use the Services.
• Bluevos.com is not liable for any misuse, illegal, or unethical use of our services by you.

13. Force Majeure

Neither party shall be liable for any failure to perform an obligation if the failure is due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, civil disturbance, and other such events.

14. Dispute Resolution

• We will attempt to resolve any disputes through good faith negotiations.
• If a resolution cannot be reached, any disputes will be resolved in the courts of Romania, in accordance with the laws of Romania.

15. Governing Law

• These Terms are governed by the laws of Romania.

16. Changes to Terms

• Bluevos.com may modify these Terms. Changes will be posted on this page.
• Your continued use of the Services after any change to these terms will constitute acceptance of the updated Terms.
